Summary of the Board Meeting Minutes (16 April 2021)

On 16 April 2021, the APTLD Board held a regular teleconference meeting, which was attended by all the Board Members, and considered a range of matters. A summary of the Meeting is published in this document.

Progress in Preparations for APTLD80

The Board received the GM’s update and suggested Board Members register for the Meeting and volunteer to moderate and otherwise contribute to sessions by 27 April 2021. The Board also suggested GM continue negotiations with event companies to identify prospective vendors capable of ensuring a high quality conferencing services for the Members.

Progress in Preparations for APTLD81

The Board received the GM’s update and suggested the Board Program Committee collect Directors’ suggestions on topics for the draft Meeting agenda by 30 April 2021.

Consideration of JPRS’s Additional Suggestions and Recommendations Regarding APTLD and the Board’s Performance

The Board thanked JPRS for their valuable comments and resolved that Board Meeting Minutes should be made available to Ordinary Members on the APTLD website, with redactions to address issues of Board in Confidence matters requiring confidentiality / sensitivity in line with good practice. The Board suggested the Secretariat explore best practices as to the format of the Minutes.

Consideration of Next Steps of the APTLD Reincorporation Process

The Board discussed the matter and resolved to hold an online Extraordinary General Meeting of members to discuss the reincorporation of APTLD in a new jurisdiction on 31 May 2021, with the subsequent voting on resolutions to give effect to this to be held until 14 June 2021 in order that Members can have sufficient time to consider the issues. The Board also resolved to form a Members Working Group on a new APTLD Constitution (WGC) and suggested the Secretariat issue a Call for Volunteers Call for it. The Board resolved that the vote for a new Constitution should take place in September 2021 and also suggested GM contact a legal counselor in Australia for indicative estimates of legal services in relation to the reincorporation process.

State and Execution of the 2021 APTLD Budget

The Board took notice of the GM’s update and once again thanked the Membership for their commitment to APTLD. The Board also resolved GM suggest Members in arrears pay subscription fees by 15 July 2021

Consideration of the Draft Memorandum of Understanding with the Oceania Cybersecurity Center, Ltd.

The Board reviewed and approved the draft MoU and authorize GM to sign it on behalf of APTLD. The Board also took notice of the OCSC’s commitment to conduct a ground breaking exercise as a part of a cybersecurity training session at APTLD80.

Establishment of a Member Working Group on the APTLD Strategic Plan for 2022-2024

The Board discussed the matter and resolved to establish the Member Working Group on the APTLD Strategic Plan (WGSP-2) for 2022-2024 and suggested GM initiate a Call for Volunteers to the WG.
